Terms of service

Article 1. Who we are
Kooistra.com B.V., Apolloweg 2, 8938 AT Leeuwarden, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 01057988, VAT number NL812117694B01. Contact: info@kooistra.com and +31 58 203 00 88 (Mon to Fri 8:00 to 17:00).
Article 2. Definitions
- Kooistra.com: Kooistra.com B.V.
- Customer: the business that orders from Kooistra.com or enters into an agreement with it, acting in the course of a profession or business.
- Products: all goods sold by Kooistra.com, including surplus stock, overstock, customer returns and B-grade goods.
- Webshop: the online shop at kooistra.com.
Article 3. Applicability
3.1 These terms apply to all offers, quotes, orders and agreements of Kooistra.com, including those made by email, phone or WhatsApp.
3.2 Deviations only apply if they have been agreed in writing. The customer's own general terms and conditions do not apply.
3.3 If a provision is void or voidable, the other provisions remain in force. The provision concerned is replaced by a valid provision that comes as close as possible to its intent.
3.4 Kooistra.com supplies businesses only. The company name is therefore mandatory in the webshop. By ordering, the customer confirms that they are acting in the course of a profession or business. If someone orders as a consumer anyway, the rights the law gives consumers apply; see the Refund policy.
Article 4. Offer and formation of the agreement
4.1 Offers and quotes are without obligation, unless a period of validity is stated. Obvious mistakes or typing errors in price or description do not bind Kooistra.com.
4.2 An agreement through the webshop is formed once Kooistra.com has confirmed the order by email. Other agreements are formed by written confirmation from Kooistra.com or by their performance.
4.3 Surplus stock is available in limited quantities. If a product turns out to be unavailable after ordering, Kooistra.com will let the customer know as soon as possible and offer an alternative, a partial delivery or a refund of the part concerned.
Article 5. Prices, VAT and payment
5.1 All prices in the webshop are in euros and exclude VAT and shipping costs, unless stated otherwise. The basket and checkout show the total amount including VAT and shipping costs before the customer pays.
5.2 If a customer in another EU country enters a valid VAT identification number when ordering, VAT is reverse-charged (0%). The number is checked in VIES. Without a VAT number, Kooistra.com charges 21% Dutch VAT. If the customer provides the number later, Kooistra.com credits the invoice, issues a new invoice with reverse-charged VAT and refunds the VAT paid earlier. For a regular customer with a known VAT number, Kooistra.com can set the customer account to VAT-exempt in advance.
5.3 Payment in the webshop is made in advance using the payment methods offered. With payment by pro forma invoice, Kooistra.com sends a pro forma invoice, including the transport costs where applicable; the order is dispatched or made ready for collection once payment has been received. For delivery to a country that is not listed in the table of the Shipping policy, payment by pro forma invoice is the only payment method, a minimum order value of € 1.950,- excl. VAT applies and transport is arranged on request.
5.4 Webshop orders are also paid in advance when collected.
5.5 For discounts applied automatically in the basket, such as the discount for buying a whole lot, the discount amount is shown on the order confirmation and the invoice.
Article 6. Delivery
6.1 Delivery takes place by shipping to the address given or by collection in Leeuwarden, in accordance with the Shipping policy, which forms part of these terms.
6.2 Kooistra.com delivers as soon as possible after receiving payment. How long a consignment is in transit varies by lot, by country and by haulier, so Kooistra.com does not state a fixed number of days in advance.
6.3 Pallets are delivered at street level to an address that can be reached by lorry, unless agreed otherwise.
Article 7. Risk and delivery ex warehouse
Delivery is ex warehouse Leeuwarden (Incoterms EXW), unless agreed otherwise. If the customer collects the goods or arranges the transport, the risk passes when the products leave the warehouse. If Kooistra.com engages the haulier, the risk passes on delivery.
Article 8. Retention of title
Products delivered remain the property of Kooistra.com until the customer has paid everything owed for those products. Until then, the customer may not pledge the products or provide them to third parties as security. The customer may resell the products in the normal course of business.
Article 9. Condition of the products
9.1 Kooistra.com trades in surplus stock. The product page or the quote states whether a product is new, B-grade, a customer return or otherwise deviating, and what the deviation consists of, for example damaged packaging.
9.2 A deviation stated before the purchase does not count as a defect. Otherwise, the product must meet what the customer may reasonably expect on the basis of the description.
9.3 Images are as accurate as possible, but colours and details may differ slightly in reality. For items described as assorted, Kooistra.com determines the mix of colours or variants.
Article 10. Inspection and complaints
10.1 The customer inspects the products immediately on delivery. If something is wrong, such as damage, a shortage or a wrongly delivered product, the customer reports this within 24 hours of delivery by email with photos and the order number; visible damage is also noted on the consignment note. A defect that was not visible on delivery is reported within 24 hours of discovery.
10.2 After a timely report, Kooistra.com works out a suitable solution with the customer, such as a full or partial credit, a replacement delivery or collecting and taking back the goods. After the periods stated, the right to invoke a defect lapses.
10.3 Complaints are reported via info@kooistra.com, quoting the order number, preferably with photos. Kooistra.com confirms receipt within two working days and responds in substance within fourteen days.
Article 11. No right of withdrawal and cancellation
11.1 The customer has no right of withdrawal. Products ordered by mistake are not taken back.
11.2 An order can be cancelled free of charge by email on the day of ordering. After dispatch, Kooistra.com charges 20% of the net order value for a cancellation, without prejudice to its right to claim the actual damage if that is higher.
Article 12. Payment term and default
12.1 Where goods are delivered on account, a payment term of 14 days from the invoice date applies.
12.2 If this term is exceeded, the customer is in default without notice of default being required and owes the statutory commercial interest and the extrajudicial collection costs. Kooistra.com may suspend further deliveries and terminate the agreement.
Article 13. Liability
13.1 Kooistra.com is not liable for damage resulting from incorrect use of products, from failure to follow instructions for use or from deviations stated in advance.
13.2 The liability of Kooistra.com is limited to the invoice amount of the order concerned or, if higher, to the amount paid out by its insurer in the case concerned.
13.3 These limitations do not apply in the event of intent or deliberate recklessness on the part of Kooistra.com.
Article 14. Force majeure
In the event of force majeure, which in any case includes disruptions at hauliers or suppliers, strikes, fire, extreme weather and government measures, Kooistra.com may suspend delivery. If the force majeure lasts longer than 30 days, either party may terminate the agreement for the part not yet performed. Amounts already paid for products not delivered are refunded.
Article 15. Price changes
If cost-determining factors increase after the agreement has been concluded, Kooistra.com may adjust the price. If the increase is more than 15%, the customer may terminate the agreement.
Article 16. Resale and brand restrictions
The customer is responsible for complying with any sales restrictions, trademark rights and import rules in the country where the products are resold. If restrictions are stated for a lot on the product page or in the quote, they form part of the agreement.
Article 17. Personal data
Kooistra.com processes personal data in accordance with its Privacy policy, which is published on the website.
Article 18. Governing law and disputes
18.1 All agreements are governed by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
18.2 Disputes are submitted to the competent court in the district of Noord-Nederland.
Article 19. Changes
Kooistra.com may change these terms. An order is governed by the version that applied at the time of ordering.
